The process, step by step

Digital Signature Certificates
Class 3 DSCs for all designated partners. Required before any filing can be made.
1–2 working days -
Name reservation
Filed through RUN-LLP. We check against existing LLPs, companies and registered trademarks before submitting.
1–3 working days -
FiLLiP incorporation filing
The incorporation form, which also allots DPIN to designated partners who don't already have one, and covers PAN and TAN application.

Certificate of Incorporation
Issued by the Registrar with your LLP Identification Number, along with PAN and TAN.
3–7 working days -
LLP Agreement
This governs profit sharing, capital contribution, partner rights and how disputes get resolved. It must be executed on stamp paper and filed in Form 3 within 30 days of incorporation. Late filing carries a daily penalty.

Minimum two designated partners, at least one resident in India. No minimum capital contribution is prescribed.

LLP or Private Limited — which should I choose?
Choose an LLP if you want limited liability with lighter compliance and no plans to raise equity. Choose a Private Limited if you intend to bring in investors, issue ESOPs, or expect the shareholding to change over time. We'll talk it through before you commit either way.
What annual compliance does an LLP have?
Form 11 (annual return) and Form 8 (statement of accounts and solvency), plus income tax returns. Audit is only required once turnover or contribution crosses the prescribed limits, which is a meaningful saving over a Private Limited.
How long does it take?
Usually 10 to 15 working days from complete documents, subject to name approval.
Can an LLP be converted to a Private Limited later?
Yes, conversion is possible. It's a separate process with its own filings, and we handle it.
